    • Acting for Catalyst Principal Partners, a leading private equity firm, in connection with the post-completion phase of its investment into Mammoth Foam Africa.
    • Acting for Actis, a renewable energy fund manager investing in the African markets in connection with its acquisition of a majority shareholding in Kipeto Energy, the second largest wind power producer in Kenya.
    • Acting for Kipeto Energy and the sponsors which included, Actis (through its renewable energy, Biotherm Energy) and Craftskills Energy implement a cross-jurisdictional internal restructuring, post Financial-Close, this included drafting and closing the transaction documents and coordinating with the lenders, sponsors, lender’s counsel and regulators.
    • Acting for Frontier Energy, a leading investor in the African renewable energy market, in connection with the acquisition of a majority interest in Chania Green Generation Limited, the developer of a 50MW wind farm in Kajiado County, Kenya.

     Corporate & Commercial

    • Acting for a leading global food ingredients and flavour manufacturer in connection with an acquisition of a pan-African food and flavouring manufacturer, including the coordination of a limited legal due-diligence exercise across 7 African countries (including countries governed by the OHADA legal regime), drafting and negotiation of the transaction documents.
    • Acting for a leading local fast-food franchise in connection with the disposal of the entire share capital of the franchisee, including assisting the client in the due-diligence exercise, drafting, negotiating the transaction documents and completion of the various conditions precedent of the transaction.
    • Assisting in the coordination of a due-diligence exercise with respect to a target in a regulated industry with operations across 4 African countries.
    • Contributing to the World Bank’s-WTO’s questionnaire in connection with a survey on impediments to services integration in Kenya.

    Energy & Infrastructure

    • Advising Kipeto Energy, the second largest wind power producer in Kenya in connection with providing regulatory advice, including assisting the company obtain the necessary regulatory approvals and certificates required to construct and operate the wind power project.
    • Advising Frontier Energy and the project company in connection with the development of the 50MW Loodariak wind power project in Ngong, Kajiado County, including providing regulatory advice and assisting the company obtain the necessary regulatory approvals required to construct and operate the wind power project.
    • Advising Bechtel, one of the world’s largest infrastructure and construction companies, in connection with the construction of the Nairobi – Mombasa Expressway in all legal and regulatory aspects of the project, including but not limited to procurement, roads development, construction law, dispute resolution and liability issues.
    • Assisting clients in connection with applications for various licences issued by various governmental authorities not limited to the Competition Authority of Kenya, Energy Petroleum and Regulatory Authority and the National Construction Authority.
    • Providing clients with detailed regulatory advice relating to the tourism and hospitality sector, construction sector and renewable energy sector.

    Environmental & Climate Change

    • Assisted in advising a leading climate change consultancy firm acting by providing Kenyan law advice on a due diligence carried out by for a multinational mining, metals and petroleum company seeking to invest in a REDD+ project in Kenya.
    • Advising a global leading PE fund on the setup of a new PE fund & associated investment advisory company for investments into forestry, carbon and land assets across the continent.
    • Assisted in advising a potential investor in relation to a socially responsible “green” investment relating to the construction of luxury safari eco-lodges with the aim of conserving the environment and empowering the local Maasai communities this included advising on the equity and tax structuring and land ownership, drafted the investment agreement, shareholders agreements and other related documentation, reviewed and advised on legislative and regulatory matters including obtaining the necessary regulatory approvals.
    • Assisting in advising a leading global rain enhancement company, with proprietary ion-based weather modification technology which included advising on all Kenyan law matters, undertaking a review of the relevant contracts, advising on the bankability of the project in view of the existing procurement laws, liaising and negotiating with governmental agencies and providing structuring advice.
