    Projects and Infrastructure

    • Advising The East African Marine System (TEAMS), a consortium of East African national and international telecoms service providers and the Government of Kenya, on the construction, operation and maintenance of an under-sea fibre optic cable providing telecommunication services between Kenya and UAE, including advising on relevant regulatory frameworks applicable to the maintenance of the under-sea fibre optic cable.
    • Acting for a client in the procurement and structuring of a geothermal power plant project in East Africa, including preparation of procurement structuring advice.
    • Acting for Finnfund, Vestas Eastern Africa and KIF, shareholders of the Lake Turkana Wind Power, the largest wind farm project in Africa, in connection with the transfer of their shares into the Climate Finance Partnership, a fund managed by the BlackRock Group, one of the world’s largest public asset managers with over USD 10 trillion in asset, including drafting and negotiating the disclosure letters for each of the sellers), drafting the pre-emption notices and managing the closing process.
    • Advising an international ports operator on proposed port concessions in East Africa, including the structuring of a port concession, providing regulatory, structuring and transaction advice, drafting the primary transaction documentation comprising of concession agreements and government agreements, reviewing the financing documentation and other relevant agreements and providing in-depth advice on PPP and Procurement Laws.

    Hospitality Management

    • Acting for a developer of a large mixed use resort development in Zanzibar, Tanzania, including advising on various precinct management arrangements as well as unit sales schemes, common area management arrangements and rental program arrangements with respect to the development.
    • Acting for a UAE-based developer involved in developing a hotel and residences project in Zanzibar, Tanzania (management arrangements with Anantara/Minor Hotels have recently been publicly announced) including advising on the schemes for sale and management of the residences (apartments and villas) and interface arrangements between the hotel and the residential units, as well as advising on rental pool arrangements in connection with the scheme.
    • Acting for EH Venture Capital, the venture capital arm of one of East Africa’s largest financial groups, in connection with the development of the proposed Kigali International Financial Centre, a mixed-use development in Kigali, Rwanda, including advising on project structuring, equity and tax structuring, investment agreements with the Government of Rwanda, consultancy and construction contracts, and negotiation of hotel management arrangements with proposed operators of the hotel component.

    Sustainability

    • Advising Verity Limited in connection with the carbon market landscape in Kenya and requirements for establishing a carbon project in Kenya.
      • Providing technical and legal expertise in connection with the recommended provisions of the revised Plastics Draft Treaty to the Ministry of Environment, Climate Change and Forestry in preparation for INC-4.

    • Acting for Equity Group Holdings, in connection with its acquisition of certain assets and liabilities of Spire Bank, including the drafting and negotiation of the transaction documentation, providing regulatory advice and obtaining approvals from the Central Bank of Kenya and Capital Markets Authority.
    • Acting as auditors for I&M Group in connection with the mandatory Legal & Compliance Audit required under the Code of Corporate Governance Practices for Issuer of Securities to the Public 2015.
