Julius Ochieng

Julius Ochieng is an Associate at ALN Kenya | Anjarwalla & Khanna and a member of the corporate team.

In his role, Julius advises clients on general corporate and commercial law, capital markets, mergers and acquisitions, regulatory compliance, competition law, corporate governance, employment law and data protection.

He completed his training contract with ALN Kenya before qualifying as an associate with the Firm.

Julius holds a Post-Graduate Diploma in Law from the Kenya School of Law and a Bachelor of Laws from the University of Nairobi.

• Acting for Twiga Holdings, a holding company for Twiga Foods, a leading B2B e-commerce platform that connects farmers and food manufacturers directly with vendors and retailers, in connection with acquisition of 50.6% of the shares in Jumra, Sojpar and Raisons Distributors, including undertaking a due diligence on all three companies, drafting and negotiating sale documentation, providing regulatory advice and coordinating the transaction from term sheet stage to completion.
• Advising a UAE-based client on Joint Venture consolidation strategies, specifically analyzing the legal and commercial implications, mapping out potential exit scenarios, valuation triggers and dispute resolution mechanisms to mitigate litigation risks.
• Advising on the establishment and licensing of multiple educational institutions in Kenya, navigating the dual-regulatory regimes.
• Providing legal advice to a client on the valuation of intangible assets for inter-company transfer purposes and determined arm’s length pricing for licensing of the assets.
• Advising a variety of clients in both regulated and non-regulated sectors on issues such as industry-specific compliance requirements, setting up in Kenya and corporate governance requirements.
• Advising clients on diverse employment mandates, including redundancy, termination, secondments and mployer of Record structures; including drafting employment documentation such as probationary contracts and defending claims related to unlawful wage deductions.
• Advising various clients on the compliance requirements under the Data Protection Act, including registration with the Office of the Data Protection Commissioner, obligations as a data controllers and processor and; review of data protection policies.
