    • Acting for ABSA Bank Kenya PLC in connection with the amendment and restatement of a senior secured green term loan facility financing the development of student accommodation projects across Kenya, including coordinating a complex multi-property, multi-obligor security package including first fixed charges over leasehold interests, movable property security over receivables and accounts, and registrations at the Lands and Collateral Registries.
    • Acting as local counsel for African Export-Import Bank (the Lender), a Pan‑African multilateral financial institution whose mandate is to provide trade finance and project funding to boost Africa’s export capacity, with emphasis on both intra‑Africa trade and external markets, in connection with the provision of loan facilities to Med Aditus Pharmaceuticals Kenya Limited (the Borrower) to fund the construction of a state-of-the-art pharmaceutical plant that will produce medicines in respect of non-communicable diseases, infectious diseases and neglected tropical diseases and with a total production capacity of 2 billion tablets and capsules per annum, located on a 10-actre piece of land located in Kibos 654/45 grant no. 123371 under a concession agreement with the County Government of Kisumu, Kenya.
    • Acting for Bulkstream, a Kenyan company that owns and operates bulk terminals in the port of Mombasa, in connection with a USD 18 million financing and restructuring transaction from a syndicate of creditors, including reviewing the facility agreement and  security documents, issuing a legal opinion on capacity and enforceability and advising on any risks that may arise out of the transaction and the available legal mitigation.
    • Acting for the Sellers in a cross-border share purchase transaction involving Tanzanian, Mauritian, and Czech counterparties, covering SPA drafting and negotiation, intercompany loan documentation, share pledge agreement review, and co-ordination with foreign counsel on Czech law issues.
    • Advising PayPal on stablecoin classification and treatment, VASP licensing requirements, and crypto merchant onboarding across the MEA region, including AML/CFT compliance, consumer protection obligations, and the dual regulatory architecture under the Capital Markets Authority and Central Bank of Kenya
    • Advised on the voluntary liquidation of Alliance One Tobacco Kenya Limited, covering solvency analysis, regulatory process, and creditor considerations under the Companies Act and the Insolvency Act.
