Eden Gatuiku is a Corporate commercial associate at ALN Kenya | Anjarwalla & Khanna, renowned as the leading law firm in Kenya and the largest full-service corporate law firm in East Africa. Eden specialises in mergers and acquisitions, fintech, corporate governance, capital markets advisory and data protection advisory across diverse sectors. She brings extensive commercial expertise to her practice.

In addition to her corporate focus, Eden also specialises in environmental, social, and governance (ESG) advisory. She provides strategic guidance to clients on matters related to carbon markets, plastics, and climate change.

Corporate

• Advising the Ministry of Finance, Ethiopia, as part of a consortium led by Deloitte Consulting in connection with the proposed partial privatisation of Ethio-Telecom, a state-owned enterprise engaged in providing telecommunication services in Ethiopia, through the acquisition by private investors of a significant minority equity stake in the company’s share capital.
• Acting as Lead Counsel for Equity Group Holdings (EGH), a non-operating holding company, listed at the Nairobi Securities Exchange (NSE) and cross-listed at the Uganda Securities Exchange and the Rwanda Stock Exchange and holds interests in banking subsidiaries in Kenya, Uganda, Tanzania, Rwanda, South Sudan and the Democratic Republic of Congo as well as non-banking subsidiaries, in connection with the sale by Britam Holdings (Britam), a diversified financial services group, listed on the NSE with operations in various countries in Africa including Kenya and Rwanda and its subsidiary Britam Life Assurance Company (Kenya), by way of private transfer of a cumulative 6.71% stake held in EGH to the International Finance Corporation (IFC) and IFC Financial Institutions Growth Fund (IFC FIG Fund).
• Acting for East Africa Group Holdings in connection with its subscription of up to 86,500,000 new ordinary shares in I&M Group PLC.
• Acting for Equity Group Holdings (EGH), a non-operating holding company, listed at the Nairobi Securities Exchange (NSE) and cross-listed at the Uganda Securities Exchange and the Rwanda Stock Exchange and holds interests in banking subsidiaries in Kenya, Uganda, Tanzania, Rwanda, South Sudan and the Democratic Republic of Congo as well as non-banking subsidiaries, in connection with the acquisition of Compagnie Générale de Banque in Rwanda.
• Acting for various clients in connection with local competition law issues related to mergers and acquisitions and assisting in obtaining related regulatory approvals from the Competition Authority of Kenya.
• Acting for various clients in connection with the restructuring of their business operations.
• Acting for International clients in connection with their setting up of businesses in Kenya.

Corporate Governance

• Acting as auditors for I&M Group Plc in connection with the mandatory Legal & Compliance Audit required under the Code of Corporate Governance Practices for Issuer of Securities to the Public 2015.
• Training the Board of Directors of Kakuzi in connection with the corporate governance requirements for listed companies under the Corporate Governance Practices for Issuers of Securities to the Public, 2015 and Kakuzi’s existing policies.

Data Protection

• Acting for Ed Partners Africa in connection with structuring and optimisation of its data processing and sharing arrangements.
• Advising a globally recognised pharmaceutical company on its compliance with the Data Protection Act, CAP 411C and adherence to international data protection standards and regulations.
• Conducting staff training to Haleon on the salient features of the Data Protection Act, CAP 411C.
• Advising various Digital Credit providers and Payment Service Providers with legal and regulatory advice relating to the management of personal data in compliance with the Kenya Data Protection Act.
• Advised and developed strategies for Bloomberg on data protection considerations during the recruitment and transfer of employees in compliance with the Kenya Data Protection Act and the GDPR, focusing on the secure handling and transfer of personal data.
• Advised Flipflopi Foundation on the applicability of the Data Protection Act, 2019 to its entity that is based in Kenya, including advising on its obligations as a data controller and data processor and compliance considerations; adapting their privacy statement to be compliant with Kenyan data protection laws.
• Conducted comprehensive data protection training for a leading international hotel chain, and the applicability of the Data Protection Act, 2019 to its operations.
• Advised a global payment service provider on data protection compliance requirements for market entry into Kenya and considerations for payment service providers.
• Acting for Center for Reproductive Rights in connection with various data protection matters, reviewing the Center for Reproductive Rights’ policies to ensure the same complies with Kenyan law, statutory requirements and recent case law.
