Sharon Muoki

Sharon is an Associate in the Projects and Infrastructure department at ALN Kenya | Anjarwalla & Khanna, widely recognized as the leading law firm in Kenya and the largest full-service corporate law firm in East Africa. In her role, Sharon advises clients on a broad spectrum of projects within the infrastructure, energy, construction, and transport sectors.

Sharon brings extensive commercial expertise to her practice, including experience in mergers and acquisitions. She has a strong specialisation in environmental, social, and governance (ESG) advisory, providing clients with guidance on carbon markets, plastics and climate change.

Sharon holds a Bachelor of Law degree from Strathmore University, equipping her with a solid foundation in legal principles and practices.

Project Finance

• Advising a private party in connection with a proposed financing for the completion of 35MW geothermal power plant in Kenya.
• Advising a private party in connection with green finance for the development and implementation of an integrated water project in the Kilifi and Mombasa Counties.
• Advising Centum in connection with attaining offshore financing to fund the acquisition, revovation and development of state-of-the-art commercial offie buildings at Two Rivers International Finance and Innovation Center SEZ.

Sustainability, ESG

• Advising Verity Limited in connection with the carbon market landscape in Kenya and requirements for establishing a carbon project in Kenya.
• Advising the Africa Climate Summit Secretariat in connection with the Africa Climate Summit held in Kenya in 2023.
• Representing the Kenyan government at the International Negotiating Committee’s (INC) 3rd session at UNEP in Nairobi Kenya and contributing to drafting the Kenyan position of the Zero Draft Treaty.
• Providing technical and legal expertise in connection with the recommended provisions of the revised Plastics Draft Treaty to the Ministry of Environment, Climate Change and Forestry in preparation for INC-4.

Mergers & Acquisitions

• Acting for Vodafone International Holdings B.V, in connection with the sale of 100% stake in Mpesa Holding Co. Limited, which is a trust company formed as an independent corporate trustee to hold M-PESA customer funds (that as of July 2023 amounted to USD 1.3 billion), to Safaricom PLC, including drafting and negotiation of the sale documentation, providing regulatory advice and obtaining approvals from the Central Bank of Kenya, Capital Markets Authority and the Competition Authority of Kenya
