• Acting for BNP Paribas, a French multinational universal bank and financial services holding company headquartered in Paris, in its capacity as Security Agent, and a syndicate of international lenders including Goldman Sachs in connection with a syndicated refinance transaction aggregating circa USD 3.1 billion to First Quantum Minerals, a leading Canadian multinational conglomerate with extensive operations in Zambia.
• Acting for BNP Paribas and a syndicate of lenders, including Goldman Sachs, in connection with a senior secured second lien notes offering totaling USD 1.6 billion by First Quantum Minerals Limited, a leading Canadian multinational conglomerate with extensive operations in Zambia.
• Acting as local counsel to Pinsent Masons, on behalf of Yellow River Co. Limited, which is part of the Sinohydro Group of Companies, in connection with the finance of an Engineering, Procurement, and Construction of mining project worth USD 46 milion that Yellow River Co. Limited undertook in Zambia.
• Acting for U.S. International Development Finance Corporation, a development finance institution and agency of the United States federal government,. in connection with a restructure of a USD 25 million facility to Atlas Mara Bank Zambia.
• Acting for European Investment Bank in connection with its EUR 10 million Green African Agri Value Chain finance to First Capital Bank, a Zambian commercial bank, for onward financing of primarily agriculture value chain projects carried out by final beneficiaries, including small and medium-sized enterprises.
• Acting for the lenders of the Kasomeno-Mwenda Toll Road Project, a public private partnership project, in connection with financing the construction of a 184 kilometre road, a 345 metre cable stayed bridge and a one-stop border post to establish a tolling system between the towns of Kasomeno, Zambia and Mwenda, Democratic Republic of Congo.
• Acting for ING Bank N.V in connection with multiple renewals of an annual secured one year revolving USD 2.8 billion borrowing base facility and off-balance sheet instrument faciity to Trafigura Pte Ltd, Trafigura Mexico, S.A. de C.V., Trafigura Asia Trading Pte. Ltd. and Trafigura Canada Ltd used for the purchase, storage, sale and shipping of metal concentrates.
• Advising a Chinese state-owned bank in connection with a sovereign debt restructure exercise involving facilities advanced to the Government of the Republic of Zambia and other Zambian state-owned institutions amounting to approximately USD 2.5 billion.
• Acting for ERG Sales Africa DMCC in connection with a pre-export finance facility agreement of USD 215 million obtained from Bank of China Limited, London Branch.
• Acting for Marula Investments Limited in connection with a USD 10 million working capital finance to Usangu Logistics (T) Limited, a Tanzanian trucking and logistics company with operations in Zambia.
• Acting for the European Investment Bank in connection with three separate financing arrangements with the Government of Zambia in relation to various projects undertaken by ZESCO Limited, a state-owned power company in Zambia. The transactions involved a EUR 50 million loan to develop a hydro power plant and transmission line in Itezhi Tezhi; a EUR 78 Million loan to reinforce power transmission and distribution infrastructure in Lusaka; and a EUR 22 million loan in respect of the Kafue-Livingstone power transmission line.

Energy & Mining

• Advising the African Development Bank (AfDB) and Green Climate Fund in connection with a financing package of USD 14.5 million for the construction of a USD 21 million Innovent Gameton North 20 MW solar project by Copperbelt Energy Corporation Plc and Innovent R-E. The project is one of six projects selected by the Zambia government under the country’s Global Energy Transfer Feed in Tariff (GETFit) program designed to unlock private-sector investment in small-and medium-scale renewable energy independent power projects in the country.
• Acting for Enel Green Power, an Italian multinational renewable energy corporation headquartered in Rome, in connection with the development of a 50MW solar power plant under the first ever scaling solar project in Zambia.
• Advising the International Finance Corporation in connection with its proposed financing of generation and distribution of electricity projects in Zambia.
• Acting for Zambia’s National Pension Scheme Authority (NAPSA), Zambia’s statutory social security fund, in connection with a USD 200 million finance by NAPSA to Maamba Energy Limited, a leading independent power producer in Zambia, for the construction of a 300 MW Phase II Power Plant in Zambia.
• Acting for Yellow River, which is part of the Sinohydro Group of Companies, as local counsel to Pinsent Masons, in connection with an Engineering, Procurement, and Construction mining project worth USD 46 million that Yellow River undertook in Zambia.
• Acting for the European Investment Bank in connection with three separate financing arrangements with the Government of Zambia for various projects undertaken by ZESCO Limited, a state-owned power company in Zambia. • Acting as local counsel to the Development Bank of Southern Africa in connection with a USD 100 million financing to Zesco Limited, a state-owned power company in Zambia, in relation to the Kafue Gorge Lower Hydro Power Plant in Zambia, including negotiating and finalising the finance documents, advising on the appropriate security as well as Zambian law requirements to mitigate risk for the client, issuing customary project finance opinions and assisting with conditions precedent.
• Advising a Chinese State-Owned Enterprise, as a contractor on an Engineering Procurement and Construction (EPC) Contract, in connection with the construction of Kafue West-Muzuma 330Kv Double Circuit Transmission Lines on behalf of ZESCO Limited for cica USD 89 million.
  • Advising a multilateral institution in connection with its proposed development of projects for the construction and development of electricity transmission lines in Zambia at a projected cost of USD 600 million.
• Advising Genesis Energy and Power Limited, an energy infrastructure developer with expertise in the development, operation and maintenance of power projects in Africa, in connection with the power sector in Zambia, including providing a regulatory overview.
• Advising Mpande Clean Energy Limited, a subsidiary of Sinoma Energy Conservation Limited, in connection with its construction of a 7.5 MW waste heat power station and a 33 Mwac/3 mwp PVPower Station in one of Zambia’s Insustrial Paks in Lusaka.
• Acted for Wheaton Precious Metals Corp, a Canadian multinational precious metals streaming company, in connection with a proposed USD 1 billion gold streaming transaction with First Quantum Minerals.
• Acted as local counsel in connection with the acquisition by GoviEx Uranium of two uranium mines in Zambia from African Energy Resources Limited.
• Advising Rio Tinto London in connection with the proposed acquisition of shareholder stakes in Zambia’s leading mining companies.

Infrastructure and Project Development

• Acting for China Civil Engineering Construction Corporation (CCECC) in its capacity as developer and concessionnaire, in connection with the revitalisation of the Tanzania-Zambia Railway (the TAZARA Railway) under a 30-year concession/public private partnership with initial investment valued at over USD 1.4 billion granted by the Zambian and Tanzanian governments in favour of two project companies set up by CCECC in Tanzania and Zambia for purposes of revitalizing the TAZARA Railway.
• Acting for FJXX in connection with the proposed rehabilitation and revitalisation of Indeni, Zambia’s only petroleum refinery, including its upgrade into a fully functional crude oil refinery and the development of ancillary projects across the petroleum, power, mining and manufacturing sectors.
• Advising a UAE based developer in connection with Public-Private Partnership projects for deployment of digital government transformation solutions for enabling infrastructure, government superapp, track and trace for excisable goods, pharmaceuticals, agricultural, and forestry products, airports services, weather monitoring services, and the programme management between the client as concessionaire and the Government of the Republic of Zambia and other government entities including a number of Zambian ministries, the Zambia Revenue Authority and Zambia airports corporation.
• Advising a UAE based developer in connection with a public private partnership agreement for the development and maintenance of airport navigation systems at three international airports in Zambia.
• Advising a Chinese-owned enterprise in connection with the proposed development of a dry port in Zambia in conjunction with the government of Zambia.
• Advising Sinohydro Zambia Limited, a subsidiary of Sinohydro Corporation Limited (SCL), a PRC entity, in connection with the procurement requirements of SCL’s bid for the design, engineering, procurement, construction, operation and maintenance of a hydroelectric power scheme at Ngonye Falls in Western Province of Zambia.
• Advising a Chinese developer in connection with a USD 5 million contract for the design, engineering, provurement and construction of a 5 Mwac Solar Pv plant in Zambia for Kiyona Energy Limited

Employment

• Advising Absa Group Limited in connection with the employment law aspects of the sale of its life insurance company in Zambia to Hollard, including advising on the potential transfer of employees as a result of the sale and assisting the client with engaging with the employees regarding the impact of the sale.
• Advising CFB Medical Centre, one of Zambia’s premium private hospitals, in connection with employment law matters, including successfully defending the hospital against a number of wrongful termination claims by the hospital’s ex-employees.
• Advised the Association of Chartered Certified Accountants (ACCA) on numerous occasions in connection with employment law matters in Zambia, including assisting with terminating employees using mutual separation and redundancy and drafting employment contracts for the Zambia office.
• Advised Qatar Airways on various employment law matters in Zambia including drafting employment contracts and advising on data protection requirements in relation to employees.
• Advised Janus Continental Group in connection with a redundancy exercise in Zambia, including providing a legal opinion on the process and assisting with implementation of the exercise, drafting the requisite notices of redundancy to the employees and the labour commissioner’s office, and providing the client with support throughout the consultation period with the employees.
• Advising Solar Panda in connection with employment compliance, including termination procedures and drafting related documents according to the employment laws in Zambia.
• Assisted Bayport International Group in connection with the implementation of a successful mutual separation with one of the top executives of the Zambian subsidiary by providing the requisite result and negotiating and implementing the separation.
• Advising Good Nature Agro, a for-profit social enterprise that supports small-scale farmers in Africa by providing them with high-quality legume seed and commodities, in connection with employment law advice relating to various issues including contracts, termination and defending them in labour disputes before the Zambian courts.
• Advising Royal Air Charter in connection with employment compliance, including termination procedures and drafting related documents, novation of employment contracts following a sale of business and drafting employment contracts for key staff according to the employment laws in Zambia.
• Advising Strongpak Limited a leading manufacturing company in Zambia, in connection with employment law matters, including termination procedures and defending Strongpak in court against former employees on various labour disputes.
• Advising TradeMark Africa, a leading African Aid-for-Trade organisation with the mission to grow intra-African trade and increase Africa’s share in global trade, while helping make trade more pro-poor and sustainable, with employment law advice including drafting employment contracts for their employees in Zambia.
• Advising Maxam Corp in connection with employment compliance, including termination procedures and drafting related documents.

Real Estate

• Acting for Ancona Properties, Forli, and LM & C Properties in connection with the USD 65 million sale of three shopping malls in Zambia to Real Estate Investments Zambia, the only listed real estate company in Zambia, including assisting with obtaining regulatory recognition of REIZ as the first Real Estate Investment Trust (REIT) in Zambia.
• Advising Green Capital, a Polish developer and operator of solar and wind power plants, in connection with a long term lease agreement to be used for the construction and operation of solar power project in Central province of Zambia.
• Acted for Galaunia Farms Limited in connection with the sale of its three farms situated in Lusaka, Zambia, for the sum of USD 18.242 million as part of the sale of its agribusiness as a going concern.
• Acted for Silverlands Zambia Limited, a subsidiary of SilverStreet Capital LLP, in connection with its acquisition of a commercial farm for USD 4,800,000 in Central Province of Zambia.
• Acted for Silverstreet Capital’s subsidiaries in Zambia in connection with their acquisition of various farming blocks in Zambia.
• Acted for Real Estate Investments Zambia Plc in connection with the purchase of a residential housing complex comprising 22 houses situated on a 7.4 acres piece of land for USD 5 million.

Capital Markets

• Advising Standard Chartered Bank Zambia in connection with regulatory compliance with the listing requirements of Lusaka Securities Exchange and seeking waivers of certain provisions.
• Advising Airtel Networks Zambia, a subsidiary of Bharti Airtel, a global telecommunications company with operations in over 20 countries across Asia and Africa and a customer base of 91 million, in connection with the listing requirements of the Lusaka Securities Exchange, including advising on regulatory compliance and seeking waivers of certain provisions.
• Advising a leading fintech company in Zambia in connection with the issuance of a corporate bond of up to USD 10 million.
• Acting as legal advisers on Zambian Law aspects to Zambian Energy Corporation (Ireland) Limited (ZECI), a shareholder in Copperbelt Energy Corporation Plc (CEC), in connection with the issuance by ZECI of a convertible corporate bond to Standard Chartered Private Equity Limited and the provision of security, including share charges in CEC

Mergers & Acquisitions

• Acting for Vivo Energy Holdings B.V. in connection with its acquisition of the entire issued share capital of Engen International Holdings (Mauritius) from Engen Holdings (Proprietary), which held majority shares in Engen Petroleum Zambia and Engen Marketing, entities with operations in the petroleum sector in Zambia.

Private Equity

• Acting as local counsel for EMR Capital, a global private equity firm, in the acquisition of Lubambe Copper Mines situated in the Copperbelt province of Zambia.

Insolvency 

• Advised second ranking creditors of one of Zambia’s leading luxury lodges in Mosi-O-Tunya National Park in connection with the recovery of a debt exceeding USD 2 million, including assisting creditors with successful appointment of a receiver as a means of recovering the debt owed various creditors.
• Advised Mwala Holdings Limited in connection with the recovery of circa USD 9 million debt, including assisting with the appointment of receivers and managers and guiding the client through the receivership process.
