Kelvin Mwangi

Kelvin is an Associate in the Projects and Infrastructure department at ALN Kenya | Anjarwalla & Khanna, widely recognised as the leading law firm in Kenya and the largest full-service corporate law firm in East Africa.

As a member of the Projects and Infrastructure team, Kelvin advises clients on the structuring, development, financing and acquisition of projects across diverse sectors, including energy, infrastructure, transport and construction. His work includes providing regulatory advisory services, corporate structuring advice, legal due diligence and guidance on risk allocation and bankability considerations, as well as drafting and negotiating project agreements such as public-private partnership agreements, concession agreements and other key commercial arrangements.

He holds a Bachelor of Laws degree from the University of Nairobi and is an Advocate of the High Court of Kenya.

• UAE based investment company in connection with the procurement of a proposed digital infrastructure project for the digitization of several Government services in Zambia.
• Fortescue Future Industries Kenya in connection with the development of Kenya’s first large-scale green ammonia fertiliser plant, powered through 120 MW of electricity generated from renewable energy plants.
• a foreign investor in connection with the financing and the development of distillery project and a biomass power plant in Tanzania
• Globeleq Africa Limited, in connection with acquiring the Regional Liquidity Support Facility (RLSF) from the African Trade & Investment Development Insurance (ATIDI) in relation to Globeleq’ s 35MW geothermal energy plant.
• a non-governmental organization in connection with drafting the construction contract for a hospital in Lamu County.
• an investor in connection with due diligence for the acquisition of port terminals in Tanzania.
• an investor in connection with due diligence for the acquisition of a port facility in Mozambique.
• an investor in connection with the review of a development management contract for a residential development in Kenya
• Drafting and reviewing construction and consultancy contracts.

Banking & Finance

• Acting for lenders in various financing transactions, including drafting security documents and facility agreements, as well as reviewing English law-governed facility agreements from a Kenyan law perspective.
• Advising clients on liquidation, administration and other procedures under the Insolvency Act of Kenya.
• Advising clients on the legal and regulatory framework governing derivative transactions in Kenya.
• Advising a client on the procedures for establishing a non-bank lending business in Kenya.

Litigation

• Acting for Kenya Bankers Association at the Supreme Court of Kenya, in connection with a dispute involving the Kenya Revenue Authority (KRA) and financial institutions on certain payments (Interchange Fees and Transaction Fees) made during consumer payment transactions using debit and credit cards. The matter is currently ongoing.
• Acting for Freedom Limited in connection with a petition before the Supreme Court of Kenya regarding a land dispute over approximately 900 acres. The matter is currently ongoing.
