    •  Acting for an international development financier and impact investor in connection with a cross-border loan facility advanced to a multinational entity holding presence in Mauritius, Uganda, Tanzania and Zambia for USD 10 million. The financier’s core mandate is to provide businesses operating in Africa, Asia and Latin America with risk capital and long-term investment loans.
    • Advising a Chinese State-Owned Bank in connection with a sovereign debt restructure exercise involving facilities advanced to the Government of the Republic of Zambia and other Zambian state-owned institutions amounting to approximately USD 2.5 billion.
    • Acted for ERG SALES AFRICA DMCC in connection with a pre-export finance facility agreement of USD 215 million from Bank of China Limited, London Branch.

    Capital Markets

    • Acting for Real Estate Investment Zambia (REIZ), a leading real estate investment, development and management entity in Zambia, listed on the Lusaka Securities Exchange (LuSE), in connection with a corporate bond restructuring of up to USD 12 million, following a rights issue.
    • Advising a renowned Zambian brokering entity that pioneered the growth and development of the Zambian securities market as a founder-member of the Lusaka Stock Exchange (LuSE), in connection with the setting up of an Employee Profit Share Scheme and separately assisting the same entity with preliminary work attributed to the establishment of an agricultural commodity trade fund, to operate as an OEIC, being the first of its kind in Zambia to be registered as an agricultural trade fund (private fund) with the Securities Exchange Commission.
    • Assisted with a legal due diligence for a global investment bank acting as underwriter on a sponsor-backed U.S. initial public offering involving a leading mining group with operations in Zambia.

    Insolvency

    • Advising second ranking creditors of one of Zambia’s leading luxury lodges in Mosi-O-Tunya National Park in connection with the recovery of a debt exceeding USD 2 million and assisted creditors with the successful appointment of a receiver as a means of recovering the debt owed to various creditors.

    Energy

    • Acting for Zambia’s National Pension Scheme Authority (NAPSA), Zambia’s statutory social security fund, in connection with a USD 200 million financing by NAPSA to Maamba Energy Limited, a leading independent power producer in Zambia, for the construction of a 300 MW Phase II Power Plant in Zambia.

    Employment and Labour

    • Advising Absa Group Limited in connection with the employment law aspects of the sale of its life insurance company in Zambia to Hollard, including advising on the potential transfer of employees as a result of the sale and assisting the client with engaging with the employees regarding the impact of the sale.
    • Advised the Association of Chartered Certified Accountants (ACCA) on numerous occasions in connection with employment law matters in Zambia, including assisting with terminating employees using mutual separation and redundancy and drafting employment contracts for the Zambia office.
    • Assisted Bayport International Group in connection with the implementation of a successful mutual separation with one of the top executives of the Zambian subsidiary by providing the requisite result and negotiating and implementing the separation.
    • Advising Good Nature Agro, a for-profit social enterprise that supports small-scale farmers in Africa by providing them with high-quality legume seed and commodities, in connection with employment law advice relating to various issues including contracts, termination and defending them in labour disputes before the Zambian courts.
    • Advising an aviation services company in connection with employment compliance, including termination procedures and drafting related documents, novation of employment contracts following a sale of business and drafting employment contracts for key staff according to the employment laws in Zambia.

    Mergers and Acquisitions

    • Offered due diligence support to an investment and financial services company uniquely positioned as one of the most experienced private equity investors on the continent, in connection with the subscription of shares in 3 Zambian operational subsidiary entities of one of the leading poultry businesses in the region, horning a presence in both eastern and central Africa. The transaction value is up to the sum of USD 57 million.
    • Advising Rio Tinto London Limited in connection with the proposed acquisition of shareholder stakes in Zambia’s leading mining companies, including undertaking due diligence on the target.
      Real Estate and Conveyance
    • Acting for a multinational agricultural commodities company in connection with the conveyance of 10 properties to a buyer in the grains sector for USD 6.725 million, including coordinating the discharge of multiple securities registered over the properties pursuant to syndicated loan facilities from a consortium of international banks, with aggregate exposure of approximately USD 59.3 million.
    • Advised on the conveyance of immovable property and the sale of a business as a going concern for one of Zambia’s leading agricultural entities, with a transaction value of USD 10.5 million
      Dispute Resolution
    • Defending a major infrastructure and energy-sector company in a multi-claim employment litigation brought by 12 former employees based in multiple jurisdictions, including reviewing pleadings and evidence, supporting case strategy, and assisting with preparation of witness materials and conducting trial.
    • Successfully represented the second-ranking secured creditor of a leading luxury lodge operating in the Mosi-oa-Tunya National Park in debt recovery proceedings exceeding USD 2 million, including advising on enforcement strategy, priority of security, and creditor rights.
    • Represented Good Nature Agro Limited, an agribusiness focused on supplying agricultural inputs and supporting smallholder farmer value chains, in multiple matters before the Zambia High Court (Commercial Division) and the Industrial and Labour Relations Court.
    • Acted for the Zambia Tourism Agency (ZTA), the national statutory agency mandated to market and promote Zambia as a tourism destination, in High Court proceedings brought by its former Chief Executive Officer, delivering end-to-end litigation support including case strategy.
