Michelle Gitumbi

Michelle Gitumbi is an Associate at ALN Kenya | Anjarwalla & Khanna and a member of the corporate department. She focuses on general corporate and commercial law, mergers and acquisitions, private equity, fintech and competition law.

Mergers and Acquisitions

• Acting for one of the leading private equity funds in Africa in connection with its investment into a new Maritius-based catalytic fund including setting of the new fund, and reviewing, advising on and negotiating the constitutive document.
• Acting for the Atraco Group in connection with its acquisition by the Gokaldas Group whose holding company is listed on the Indian Stock Exchange and is one of the largest apparel manufacturing companies.
• Acting for a private equity fund in connection with its acquisition of a leading fintech company with operations in Kenya, Uganda and Nigeria including conducting due diligence on the company and advising on the structuring of the transaction.
• Acting for Network International, a group providing payment processing services in connection with its takeover by a consortium comprising CVC Capital Partners Limited and Francisco Partners Funds in the capacity of local counsel.
• Acting for the shareholders of Acme Containers Limited in the sale of their shares to Acsent Capital including conducting due diligence, reviewing and negotiating the transaction agreements and attending to completion matter.
• Acting for the a high networth individial in his acquisition the shares and debt of an investee company owned by a private equity fund.
• Acting for Kuramo Capital and advising Kuramo on the rights issue by Transcentury PLC.
• Acting for a leading packaging manufacturer in Kenya in its acquisition of another packaging manufacturer.

• Acting for a private equity fund in its acquisition of a leading fintech company with operations in Kenya, Uganda and Nigeria including conducting due diligence on the company and advising on the structuring of the transaction.
